Terms of Service – Matsu Academy

These Terms of Service (“Terms”) govern your access to and use of the websites, programs, and services offered by Tokyo Wonder LLC (“Matsu Academy”, “we”, “us”, or “our”), including our websites (such as matsuacademy.com and any related pages), our online community and courses (including those hosted on platforms like Skool), and any related communications (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

1. Eligibility

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase a paid membership.

  • If you are between 13 and 18, you may use the Services only with permission from a parent or legal guardian who accepts these Terms on your behalf.

  • You represent that all information you provide to us is accurate and complete.

2. Accounts and Security

  • To access certain parts of the Services (such as the community or courses), you may need to create an account, including on third-party platforms like Skool.

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

  • You agree to notify us promptly if you suspect any unauthorized access or use of your account.

3. Description of the Services

Matsu Academy provides, among other things:

  • Online Japanese language courses and educational content

  • Community access (forums, chats, group discussions, etc.)

  • Live or recorded calls, Q&A sessions, and events

  • Optional assessments, feedback, and related resources

We may add, modify, or remove features of the Services at any time.

4. Payments and Subscription Terms

  • Access to certain parts of the Services (such as membership tiers including Starter, Premium, and VIP) requires payment of fees (a “Subscription”).

  • Prices, billing frequency, and tier benefits are described at the time of purchase and may be updated from time to time.

  • Payments are processed by third-party providers (such as Stripe and/or Skool). By subscribing, you also agree to their terms and privacy policies.

  • Auto-renewal: Unless otherwise stated, Subscriptions renew automatically at the end of each billing period until canceled.

5. Trials and Promotions

From time to time, we may offer free trials, discounts, or promotional pricing.

  • Any specific terms (such as trial length or discounted period) will be stated at signup.

  • We reserve the right to modify or end a promotion at any time, consistent with applicable law.

6. Cancellation and Refunds

  • You may cancel your Subscription at any time through the platform where you purchased (for example, your Skool billing settings) or by contacting us at matsu.sama21@gmail.com.

  • Unless otherwise stated at checkout or required by law, fees are non-refundable, and your access will continue until the end of your current billing period.

  • You are responsible for all charges already incurred, including any charges for the current billing period.

Any special refund policies (such as money-back guarantees) will be clearly indicated at the time of purchase and apply only as described.

7. SMS, Email, and Direct Message Communications

When you submit an application, assessment, or other form, you may be asked to provide your phone number, email address, or social media handle.

By providing this information and giving your consent on the form, you agree that we may contact you via text messages (SMS), email, and social media direct messages regarding:

  • Your assessment and application

  • Whether you are approved, rejected, or waitlisted for a cohort

  • How to join, manage, or renew your membership

  • Important updates about your participation in Matsu Academy

SMS details

By consenting on the form, you acknowledge and agree that:

  • You may receive recurring automated text messages at the phone number you provide.

  • Message and data rates may apply. Message frequency varies.

  • You may reply STOP to cancel SMS messages or HELP for help at any time.

  • We may use third-party SMS providers (such as Salesmsg) to send and manage these messages, in accordance with our Privacy Policy.

You can unsubscribe from marketing emails by clicking the unsubscribe link in those emails, or by contacting us at matsu.sama21@gmail.com.

8. User Content and Community Rules

Our community spaces may allow you to post content such as messages, comments, images, or other materials (“User Content”).

By posting or submitting User Content, you:

  • Grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content within the Services (for example, to operate the community, share wins, or showcase examples), in accordance with our Privacy Policy.

  • Represent that you own or have the necessary rights to submit the content and that it does not infringe any third-party rights.

You agree not to post or share:

  • Hate speech, harassment, threats, or abusive content

  • Illegal, discriminatory, or sexually explicit material

  • Spam, promotions, or solicitations unrelated to Matsu Academy

  • Content that violates copyright, trademark, or other proprietary rights

We reserve the right (but have no obligation) to moderate, remove, or restrict content or accounts that violate these Terms or our community guidelines.

9. Intellectual Property

  • All content we create or provide (including videos, lessons, worksheets, text, graphics, logos, and overall design) is the property of Tokyo Wonder LLC or our licensors and is protected by copyright and other applicable laws.

  • We grant you a limited, non-exclusive, non-transferable license to access and use the content for your personal, non-commercial learning only.

  • You may not reproduce, share, resell, or publicly distribute our content without our prior written permission.

10. Prohibited Activities

You agree not to:

  • Use the Services for any unlawful or unauthorized purpose

  • Attempt to gain unauthorized access to the Services or other users’ accounts

  • Interfere with or disrupt the operation of the Services

  • Use automated systems (including bots, scrapers, or similar tools) to access or collect data from the Services without our permission

  • Circumvent or attempt to circumvent any security or payment protections

11. Third-Party Services

Our Services may integrate with or link to third-party platforms or tools (such as Skool, Stripe, Salesmsg, Meta, Google, and others).

  • We do not control and are not responsible for third-party sites, services, or policies.

  • Your use of those third-party services is governed by their own terms and privacy policies.

12. Disclaimers

  • The Services are provided on an “as is” and “as available” basis.

  • We do not guarantee any specific results (such as a particular fluency level, test score, or outcome from traveling to Japan) from participating in Matsu Academy.

  • To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

13. Limitation of Liability

To the fullest extent permitted by law:

  • Tokyo Wonder LLC, its owners, employees, and partners will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Services.

  • Our total aggregate liability for any claim arising out of or relating to the Services will not exceed the amount you paid to us for the Services in the three (3) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the limitation or exclusion of certain liabilities, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Tokyo Wonder LLC and its owners, employees, and partners from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Services

  • Your violation of these Terms

  • Your violation of any rights of another person or entity

15. Changes to the Services and Pricing

We may modify or discontinue any part of the Services at any time, including content, features, or pricing, in our discretion and consistent with applicable law.

If we make material changes to your paid plan or pricing, we will try to provide reasonable notice by email or through the Services.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page.

If we make material changes, we may also notify you by email or by posting a notice in the Services. Your continued use of the Services after changes become effective means you accept the updated Terms.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws principles.

Any disputes arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Somerset County, New Jersey, and you consent to the personal jurisdiction of those courts.
